Supplier and Seller Terms

These Terms supplement the Terms of Use for suppliers, distributors, dealers, manufacturers and other third-party sellers ("Seller").
1. Seller Remains Legal Seller
The Seller — not Hospiverse — is the legal seller of every third-party product offered through its profile/listing. The Seller contracts with and collects payment directly from the buyer; issues the invoice; and is responsible for tax, title, delivery, installation, quality, safety, return, refund, warranty, recall and after-sales obligations.
Hospiverse does not collect third-party product consideration and does not take a commission on the product transaction under the present business model. Subscription fees paid to Hospiverse are separate Platform fees.
3. Listing Accuracy
The Seller is responsible for all listing content, including product identity, images, model, specifications, dimensions, materials, capacity, certification, country of origin, manufacturer/importer, price, tax, MOQ, stock, delivery, installation, warranty and return information.
The Seller must promptly correct changes and remove unavailable, discontinued, recalled, prohibited or unauthorised products. Indicative prices must be labelled as such and may not be used as false bait pricing.
4. Mandatory Product Disclosures
Where applicable, the Seller must provide all information required by food, legal metrology, consumer, BIS/QCO, import, environmental, safety and other product law. For packaged goods, this may include manufacturer/packer/importer, common/generic name, net quantity, MRP inclusive of taxes, country of origin and consumer-care information.
Hospiverse may refuse publication until required fields and evidence are complete.
5. Food Sellers
A food Seller must maintain the correct FSSAI licence/registration for its business, premises and product category; provide accurate food-label and safety information; comply with storage/transport requirements; and manage complaints and recalls. Food transactions and payments occur directly with the Seller. The Food Directory Policy is incorporated.
Equipment sellers must not claim "FSSAI approved" merely because equipment may be used by a food business.
6. Brand and Intellectual-Property Rights
The Seller must own or hold written authority to use every logo, image, catalogue, description and trademark submitted. Public availability is not permission. The Seller must not claim authorised-dealer, distributor or manufacturer status without current written evidence.
The Seller grants the limited content licence in the Terms of Use and will cooperate with rights complaints. Repeat infringement may result in removal or termination.
7. Quotations and Buyer Dealings
The Seller must quote honestly, identify taxes/charges, state validity, honour accepted commercial commitments, and communicate professionally. It must not substitute a materially different product without informed buyer agreement, fabricate stock, manipulate urgency or move a buyer to an undisclosed entity to evade legal responsibility.
Because checkout is not provided for third-party products, payment instructions must be issued by the Seller in its legal name. The Seller must take reasonable steps to prevent bank-account substitution fraud.
8. Buyer Data
Buyer contact/RFQ data may be used only to respond to that enquiry and manage the resulting relationship. The Seller must not sell it, scrape it, enrich unrelated profiles, spam, or send promotional messages without lawful permission. Appropriate security and confidentiality are required.
9. Verification Badges
The Seller must not copy a Hospiverse badge to another website or imply a broader guarantee. It must notify Hospiverse of expiry, suspension, investigation or material change affecting a verified document within two business days.
10. Safety, Incident and Recall
The Seller must immediately notify Hospiverse of a product recall, serious safety complaint, counterfeit allegation, regulator notice, licence suspension or material defect affecting a listing. Hospiverse may restrict the listing and notify affected users/authorities where appropriate.
11. Seller Plans
Seller Free, Starter, Growth, Professional and Enterprise plans are governed by the Plan Schedule and Subscription Policy. Placement, leads and campaign services do not guarantee sales or a minimum commercial result unless a signed order form states a precise commitment and sole remedy.
12. Audits and Cooperation
On reasonable notice — or immediately for an urgent legal/safety matter — the Seller must provide evidence supporting listings, badges and claims. Hospiverse may preserve information, communicate with authorities/brands and suspend content during review.
13. Indemnity
The Seller will indemnify Hospiverse for third-party claims and regulatory loss caused by the Seller's product, transaction, tax failure, unsafe/counterfeit goods, inaccurate listing, licence failure, privacy misuse, infringement or breach, except to the extent caused by Hospiverse's own breach or misconduct.
14. Suspension and Termination
Hospiverse may correct, hide or remove a listing; withdraw a badge; restrict leads; or suspend/terminate a Seller for risk, breach, non-payment, repeat complaints or legal requirements. Subscription treatment follows the Subscription Policy.
